BOARD OF DIRECTORS MEETING

MINUTES
Meeting was called to order by Board President Matt Earnest at 7:30pm.

In attendance were Board President Matt Earnest; David Yeager, Vice President; Nancy Jackson, Treasurer and Secretary, Amy Deering, Director & ARB Chairperson and Ricardo Burke, Director. Also present were current property managers Gary House and Mary Loffredo along with Paula Butler all with Premier Community Managers. In addition, Lt. Greg Link and Deputy Sheriff Walter Wolf of the Lake County Sheriff’s Department were in attendance as guests along with 62 homeowners.

With 5 of 5 Board members present, a quorum certified and the Board unanimously acknowledged notice was posted at least 48 hours in advance of the meeting.

Matt introduced members of Premier Community Managers as the new property management company for Quail Valley LOA. He also asked that if any member wished to speak at the meeting that they sign in first.

Approval of previous minutes was motioned by Nancy Jackson, 2nd by Ricardo, UA. Matt explained the financials of the Association to everyone. Paula Butler, PCM explained that the financials given to the Board by the former property management company were as of May 31, 2006. Paula also explained that due to the lack of individual ledgers, the 2005 end of year audit or review by an independent CPA or other outside financial firm, there was no way to establish the credibility of the financials turned over to the Association by Deb McGill property management. She further explained the current financials were on a cash basis but would be converted to accrual in accordance with AICPA guidelines. In addition, the WWTP financials would be separated from the Association financials once the financials were reconciled.

A proposed neighborhood watch program was discussed which resident Jennifer Bode would help by instituting the program.

Both Sheriff Wolf and Lt. Link made short presentations on what they would like to implement and asked for support from the community. Followed by a question and answer period. Another meeting will be designated to discuss this further at length. Jennifer Bode to coordinate. A newsletter from Lake County Sheriff’s Office was passed out.

Committee Reports – Amy Deering, ARC liaison reported that she had received 10 applications of which six were approved for 829 Breezy Lake Way, 713 Gentle Breeze Drive, 628 Gentle Breeze Drive, 305 Gentle Breeze Drive, 917 Cherry Laurel, 226 Carlyle Street. Pending status on four of them. Amy also mentioned that she revised the current architectural review form and asked PCM to incorporate those changes. She further informed the group the members currently on the ARC committee are Johnny Dole, Cindy Sbrissa, Patricia Guerriero, Tami Edwards, Francine Scocca, and Tiffany Scales.

Newsletter - Jennifer Bode requested that a newsletter be implemented for QV as a means of communication and asked for the support of its residents. Jennifer will implement a newsletter program in house for QV.

President’s Report - Matt reported that the board was prepared to issue the property management and landscape contracts. He broke down the approximate cost for those contracts and asked Association members for alternatives.

Old Business – Property management was discussed. Transition and turnover of records was done as of May 1st, 2006 from Banyan Homes to the Association. Many residents felt that the service they received from McGill Property Management was inadequate.

PCM advised SJRWMD could impose a $10,000 fine per day to the association for any owner not in compliance with SJRWMD jurisdictional areas. Currently there are several homes along Grassy Lake Road that are in violation of SJRWMD rules and regulations and the Association has notified those owners to take corrective measures.

New Business – Enforcement of Deed Restrictions. Both Gary and Mary made short presentations on its policy in effect and Mary informed that she would abide and enforce the Declaration of Covenants, Conditions & Restrictions for QUAIL VALLEY SUBDIVISION, Article V, Use of Lots and Common Elements , #14 states Each owner shall keep and maintain the building improvements, landscaping, and Surface water drainage structures located on his/her residential unit in GOOD and PRESENTABLE condition and repair consistent with the approved plans therefore, And shall otherwise keep such residential unit in NEAT and ATTRACTIVE condition AT ALL TIMES.

Annual calendar for meetings – next meeting to be held on Wednesday, ___________________, 2006, the place to be determined as we need to check availability.
